1. Acceptance of Terms

By accessing or using any product, service, website, API, or platform offered by Nunmathi Technologies Pvt Ltd ("Nunmathi," "we," "our," or "us"), you ("User," "you," or "Customer") agree to be legally bound by these Terms of Service ("Terms"), our Privacy Policy, Acceptable Use Policy, and any additional policies referenced herein.

If you are accessing our services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not accept these Terms, you must immediately discontinue use of our services.

2. Eligibility

To use our services, you must:

• Be at least 18 years of age, or the age of legal majority in your jurisdiction.
• Have the legal capacity to enter into binding contracts.
• Not be prohibited from receiving services under applicable law.
• If registering on behalf of a business entity, have full authority to bind that entity.

Our services are not directed at individuals under 18. If we become aware that a minor has created an account, we will suspend and delete it without notice.

3. Account Registration

Certain features require creating an account. When registering, you agree to:

• Provide accurate, current, and complete information.
• Maintain and update your account information as necessary.
• Keep your credentials confidential and not share your password.
• Notify us immediately at info@nunmathi.com of any unauthorised access.
• Accept responsibility for all activity that occurs under your account.

Nunmathi reserves the right to refuse registration, cancel accounts, or remove content at its sole discretion.

4. User Responsibilities

You are solely responsible for:

• All content, data, and instructions you submit to our systems.
• Ensuring your use of AI outputs is appropriate for the context.
• Maintaining compliance with applicable laws in your jurisdiction.
• Obtaining all necessary consents before submitting third-party data.
• The security of your own systems, devices, and network infrastructure.
• Independently verifying any AI-generated output before acting on it.

5. Acceptable Use

You must use our services only for lawful purposes and in accordance with our Acceptable Use Policy. You agree not to use our services to:

• Violate any applicable law, regulation, or third-party rights.
• Transmit malicious code, viruses, or harmful content.
• Conduct or facilitate fraud, phishing, or identity theft.
• Harass, threaten, or harm any individual or group.
• Generate or distribute illegal, defamatory, or abusive content.
• Attempt to reverse-engineer, decompile, or extract our AI models.

6. AI Usage Rules

When using our AI services, you agree to:

• Not use our AI to generate or spread misinformation, deepfakes, or propaganda.
• Not submit prompts designed to extract model weights, training data, or system instructions.
• Not use outputs to train competing AI systems without written authorisation.
• Not attempt to circumvent safety filters, content policies, or usage limits.
• Comply with all applicable AI regulations in your jurisdiction.

7. Intellectual Property

7.1 Our IP

All software, algorithms, models, interfaces, documentation, brand elements, and underlying technology on our platform are owned by or licensed to Nunmathi Technologies Pvt Ltd. Nothing in these Terms grants you any ownership rights in our technology.

7.2 Licence to You

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our services for your authorised business purposes.

7.3 Feedback

If you provide feedback, suggestions, or ideas about our services, you grant us a perpetual, royalty-free, worldwide licence to use that feedback without restriction and without obligation to you.

8. User Content

You retain ownership of all content, data, documents, and information you submit to our services ("User Content"). By submitting User Content, you grant Nunmathi a limited, non-exclusive licence to process and store it solely for the purpose of delivering the requested service.

You represent and warrant that your User Content does not infringe any third-party rights and that you have all necessary rights and permissions to submit it.

9. AI-Generated Content

Ownership of AI-generated outputs depends on applicable law in your jurisdiction. To the extent permitted by law, outputs generated exclusively in response to your prompts are assigned to you, subject to these Terms.

You acknowledge that:

• AI outputs may not be original and similar content may be generated for other users.
• AI outputs may contain errors, biases, or outdated information.
• You bear full responsibility for your use of AI-generated outputs.
• We make no representation that AI outputs are accurate, complete, or fit for any purpose.

10. API Usage

Access to our APIs is subject to these Terms plus any API-specific documentation. You agree to:

• Use API keys only for authorised applications.
• Not share, sell, or sublicence API access to third parties.
• Comply with rate limits and usage quotas as specified in your plan.
• Not use the API to build a competing AI platform.
• Ensure your application that uses our API complies with all applicable laws.

We reserve the right to suspend API access without notice if we detect abuse, excessive load, or policy violations.

11. Subscription Plans

Our services are offered on subscription plans. Your plan determines your access level, usage limits, and pricing. Plan details are available at nunmathi.com or as agreed in your enterprise contract. We may introduce, modify, or discontinue plans with reasonable notice.

12. Billing & Payments

By subscribing, you authorise us to charge your designated payment method for all applicable fees. Subscriptions auto-renew at the end of each billing cycle unless cancelled before renewal. All prices are exclusive of taxes unless stated otherwise. You are responsible for all applicable taxes in your jurisdiction.

We may change pricing with at least 30 days notice before your next renewal date. Your continued subscription after a price change constitutes acceptance of the new pricing.

13. Refunds

Please refer to our Refund Policy for full details. In summary: monthly subscriptions are generally non-refundable after the first 7 days; annual plans may be eligible for a prorated refund within 14 days of purchase. Enterprise contracts follow their individual agreement terms.

14. Trial Accounts

Where we offer a free trial, you may access the relevant features without charge for the specified trial period. At the end of the trial, you will need a paid subscription to continue. We reserve the right to modify or end trial offerings at any time. Trial accounts are limited to one per person or organisation.

15. Suspension & Termination

15.1 By You

You may cancel your account at any time through your account settings or by contacting info@nunmathi.com. Cancellation takes effect at the end of the current billing period.

15.2 By Nunmathi

We may suspend or terminate your account immediately, without prior notice, if you: violate these Terms; engage in fraudulent or harmful activity; fail to pay fees; or if required by law. Upon termination, your licence to use the services ends immediately.

15.3 Effect of Termination

On termination, we may delete your account data after a reasonable retention period per our Privacy Policy. Provisions of these Terms that by their nature should survive termination will remain in effect.

16. Service Availability

We aim for high availability but do not guarantee uninterrupted access. We may perform scheduled or emergency maintenance that temporarily interrupts service. We are not liable for any loss resulting from service unavailability caused by circumstances beyond our reasonable control.

17. Beta Features

Features marked as "Beta," "Preview," or "Experimental" are provided as-is without warranty. Beta features may be changed, restricted, or removed at any time without notice. Feedback you provide on beta features may be used to improve our services without compensation.

18. Limitation of Liability

We are not liable for any indirect, incidental, special, punitive, or consequential damages — including loss of profits, data, business, or reputation — even if advised of the possibility of such damages. Some jurisdictions do not allow these limitations, so they may not apply to you in full.

19. Warranty Disclaimer

Our services are provided "as is" and "as available" without any express or implied warranty, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that AI outputs are accurate, complete, or reliable. We do not warrant that our services will meet your specific requirements.

20. Indemnification

You agree to indemnify, defend, and hold harmless Nunmathi and its officers, directors, employees, and agents from any claims, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from: your use of our services; your User Content; your violation of these Terms; or your infringement of any third-party rights.

21. Force Majeure

Neither party is liable for failure or delay in performance caused by circumstances beyond their reasonable control, including acts of God, natural disasters, government actions, cyberattacks, power failures, or pandemics. The affected party must notify the other promptly and use reasonable efforts to resume performance.

22. Governing Law & Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with proceedings conducted in Coimbatore, Tamil Nadu, India.

Notwithstanding the above, either party may seek injunctive or equitable relief from a competent court.

23. Amendments

We may update these Terms at any time. We will notify you of material changes by email or prominent notice on our website at least 14 days before the changes take effect. Your continued use of our services after the effective date constitutes acceptance of the revised Terms.
